Resolutions of the Board of Directors of China Petroleum Pipeline Bureau on the dissolution and liquidation of its branch in Peru

On October ___, 2017, the Board of Directors of China Petroleum Pipeline Bureau (registered under the Industry and Commerce Administration Act of Hebei Province, China, with Registration Number 130000100001893) discussed the dissolution and liquidation of China Petroleum Pipeline Bureau Sucursal del Peru. During this meeting, the following resolutions were adopted:

• 1. China Petroleum Pipeline Bureau has voluntarily decided to dissolve and liquidate its branch in Peru, named China Petroleum Pipeline Bureau Sucursal del Peru(hereinafter referred to as “THE BRANCH”), registered in Electronic Card No. 13175877 of the Registry of Legal Entities from Lima.

• 2. To appoint Martín Alberto Varillas Cueto, Peruvian, identified with IDN07813924 and María Soledad Gastañeta Gonzales, Peruvian, identified with ID No. 42526555, both domiciled for these purposes at Av. Reducto 1310, piso 7, Lima 18, Peru, as principal and alternate liquidators of THE BRANCH, respectively, empowering them to perform all the necessary functions for liquidation. In this sense, individually each liquidator will have the following powers:

a) To represent THE BRANCH before any class of political, administrative, municipal, tax, customs and labor authorities, without reservation or limitation, including Judges and Courts, of the Republic of Peru, with the general and special powers contained in Articles 74º and 75º of the Code of Civil Proceedings such as: interpose or answer lawsuits, administrative or any other claims, as well as interpose means of challenge and annulment; represent it in all judicial hearings, administrative or of any other kind, of any class or denomination; expressly request the withdrawal of all claims or part of them, or the withdrawal of the process; submit any dispute to national or international arbitration, in whole or in part; conciliate and/or settle judicially or extrajudicially.

b) Represent THE BRANCH in all kinds of procedures and claims labor before the Ministry of Labor and Social Promotion and the Courts and Specialized Chambers of Labor in all divisions and instances, with all necessary powers, especially those contained in the article 48 of Supreme Decree No. 25593, and the New Labor Procedural Law, Law No. 29497, in accordance with the provisions of the Single Ordained Text of the Organic Law of the Judicial Power, approved by Supreme Decree No. 017-93-JUS. In the labor procedures will have powers to conciliate and/or settle.

c) Sign and terminate required contracts in the liquidation process.

d) To commission the preparation of financial statements; signing tax returns; publish the final financial statements, extend receipts; request the recordation of the extinction of THE BRANCH in its opportunity.

e) To withdraw funds from accounts of THE BRANCH in national and foreign currency; to close the bank accounts, to sign and/ or endorse checks, to transfer abroad; and in general to carry out all the operations necessary to carry out the liquidation of THE BRANCH and its operation during the liquidation process.

e) 撤走秘鲁分局账户中的本国及外国货币资金；关闭银行账户，签署和/或背书支票，向境外转移；在清算进程中进行所有必要清算操作和分局工作事物操作。

• 3. As a result of the foregoing, until its extinction, THE BRANCH will be called China Petroleum Pipeline Bureau Sucursal del Peru en Liquidación as established by the General Law of Corporations of Peru, and all the powers granted to the legal representatives will be revoked.

To authorize Martín Alberto Varillas Cueto, Peruvian, identified with DNI N°07813924 and María Soledad Gastañeta Gonzales, Peruvian, identified with ID No. 42526555, both domiciled for these purposes at Av. Reducto 1310, piso 7, Lima 18, Peru so that any of them can sign the public deed of dissolution and liquidation that this document originates.

3. 授权Martín Alberto Varillas Cueto，秘鲁人，身份证件号为07813924，同María Soledad Gastañeta Gonzales，秘鲁人，身份证件号为42526555，其清算工作下榻住址：秘鲁，利马18号，7层，Reducto大道1310室，两者任意一人可以签署解散和清算公约原件。
